אחרי תקופה ארוכה שבה כיהנה כממלאת מקום המנכ"ל, דנה עזריאלי מונתה למנכ"לית קבועה של עזריאלי, ותיהנה משכר של עד 9.1 מיליון שקל בשנה ■ אירית סקלר־פילוסוף תחליף אותה כיו"ר, ותצטרך לפקח על המהלכים שתוביל בעלת השליטה והמנכ"לית ■ מינויה של עזריאלי מחזק את מגמת העלייה במספר הנשים בתפקידי מפתח בענף הנדל"ן
בספטמבר האחרון הראתה דנה עזריאלי — בעלת השליטה והאישה החזקה בקבוצת עזריאלי — את הדרך החוצה למנכ"ל רון אבידן, לאחר כהונה של חודשים ספורים. עזריאלי נכנסה במקומו לתפקיד ממלאת מקום המנכ"ל.
בכיר בשוק ההון אמר לנו אז: "העזיבה של אבידן היא גם תקלה של דנה עזריאלי – שלא ידעה לבחור במנכ"ל שיתאים לדנ"א של הקבוצה ויידע להסתדר איתה. זה מעביר מסר בעייתי למנהלות ומנהלים בכירים רציניים ועצמאיים שלפחות חלקם יחששו להגיע לעזריאלי. שכן כיום יש מקום רק למנכ"ל אחד בקבוצה – דנה עזריאלי".
אתמול (ראשון) התברר כי אותו בכיר צדק, כשדירקטוריון עזריאלי אישר את מינוייה של עזריאלי כמנכ"לית קבועה. עזריאלי תיכנס לתפקידה ב-22 במרץ 2026 לתקופה של שלוש שנים לפחות, ב-100% משרה.
לאור הסיטואציה שנוצרה בקבוצת עזריאלי בשנה האחרונה, זהו אינו מהלך מפתיע. כל מי שהיה באינטראקציה עסקית עם עזריאלי יכול היה להתרשם שלאחר תקופה ארוכה שבה למדה את העסק אותו ירשה מאביה דוד עזריאלי, שהלך לעולמו ביולי 2014, ושימשה מאז כיו"ר הדירקטוריון — היא מאוד מעוניינת בתפקיד מנכ"לית קבוצת הנדל"ן הגדולה בבורסה.
עזריאלי נסחרת לפי שווי שוק של כ-56 מיליארד שקל — שווי שוק הגבוה ביותר מפי שניים מכל אחת משתי הענקיות האחרות של הנדל"ן המניב: מליסרון (+0.2% 44530) הנסחרת לפי שווי של 21.5 מיליארד שקל, וביג מרכזי קניות (-0.8% 77860) הנסחרת לפי שווי שוק של כ-20.2 מיליארד שקל.
מאז שדנה עזריאלי החלה לכהן כממלאת מקום מנכ"לית עזריאלי בספטמבר 2025, מניית הקבוצה עלתה ב-54% לעומת עלייה של כ-26.5% במדד ת"א נדלן מניב ישראל שבו היא נכללת.
נתון נוסף שעזריאלי יכולה לזקוף לזכותה הוא העלייה במנייה מתחילת השנה, בכ-27.5%. בעקבות הזינוק שווי השוק של עזריאלי הוא השישי בגודלו בבורסה אחרי טבע, בנק לאומי, בנק הפועלים, אלביט מערכות ובנק מזרחי טפחות. ההתאוששות במניית עזריאלי שדישדשה במהלך השנה שעברה נובעת מהמומנטום החיובי של המשקיעים בבורסה כלפי פעילות חוות השרתים שלה באירופה, המרוכזת בחברה הבת גרין מאונטיין.
ביום שבו עזריאלי תחדל לכהן כיו"ר דירקטוריון ותהפוך למנכ"לית קבועה, תתכנס אסיפת בעלי מניות של עזריאלי בכדי לאשר את חבילת התגמול השנתית של עזריאלי, שתגיע עד לרמה של כ-9.1 מיליון שקל. כך, באמצעות חברת הניהול שלה, היא תקבל שכר חודשי של 330 אלף שקל, כלומר דמי ניהול שנתיים של 5.1 מיליון שקל, מענק של עד 3.8 מיליון שקל בכפוף לעמידה ביעדים תפעוליים ופיננסיים שונים, וכן כ-155 אלף שקל בגין החזקת רכב והוצאות תקשורת.
ב-2024 חבילת התגמול שלה כיו"ר עמדה על כ-7.9 מיליון שקל. כעת בעקבות תוספת שכר שנתית ועדכון מדד המחירים לצרכן, החבילה שלה תגדל. זאת בזמן שמאז 2014 קיבלה עזריאלי בגין החזקתה דיווידנדים של כמיליארד שקל.
את עזריאלי תחליף בתפקיד יו"ר הדירקטוריון רו"ח אירית סקלר־פילוסוף, שתפעל ב-50% משרה, ועל כך תקבל תגמול של 1.4 מיליון שקל בשנה. אפשר לשער שסקלר־פילוסוף מכירה את עסקיה של קבוצת עזריאלי לא פחות מדנה עזריאלי. סקלר־פילוסוף (52), שהחלה את הקריירה המקצועית שלה במשרד רואי החשבון KPMG, הצטרפה לעזריאלי עוד בשנת 2000 כשהייתה חברה יחסית קטנה ושנוהלה אז על ידי דוד עזריאלי והמנכ"ל מנחם עינן. היא מילאה שורה של תפקידי ניהול בעיקר בתחומי כספים, פיננסים ופיתוח עסקי.
יהיה מענין לראות אם סקלר־פילוסוף שבמסגרת תפקידה החדש תצטרך לפקח על המהלכים שתוביל עזריאלי, תדע לעשות זאת תוך הצגת עמוד שדרה מספיק חזק והבעת עמדה מקצועית כנה ומוצקה, גם אם הדברים לא ימצאו חן בעיני בעלת השליטה
במסגרת תפקידיה בעזריאלי היא ליוותה את הנפקת הקבוצה בבורסה ב-2010, וכן נטלה חלק פעיל במהלכים הבולטים, בהם מכירת חברות ותחומי פעילות שאינן בליבת הנדל"ן המניב, בהן סופרגז, GES, ופי גלילות. בתפקידה האחרון שימשה כמשנה למנכ"ל אייל חנקין וסמנכ"לית הכספים — תפקיד שממנו פרשה במאי 2023, אך זמן קצר לאחר מכן חזרה לקבוצה כדירקטורית.
"סקלר־פילוסוף מתאימה להיות מנכ"לית קבוצת עזריאלי, אך היא בחרה להוריד הילוך בקריירה", אומר בכיר בשוק ההון. "כעת יהיה מעניין לראות אם סקלר־פילוסוף שבמסגרת תפקידה החדש תצטרך לפקח על המהלכים שתוביל עזריאלי, תדע לעשות זאת תוך הצגת עמוד שדרה מספיק חזק והבעת עמדה מקצועית כנה ומוצקה, גם אם הדברים לא ימצאו חן בעיני בעלת השליטה. זה יהיה תלוי גם בהתנהלות של עזריאלי, ויש לקוות כי היא הפיקה לקחים מטעויות שעשתה בעבר".
לעזריאלי וסקלר־פילוסוף מצפים אתגרים רבים, בהם המשך פיתוח פרויקטי יזמות גדולים בישראל בתחומי המשרדים והמסחר, הטמעת המיזוג עם חברת צמח המרמן תוך הפיכתה לזרוע דיור למגורים מהותית, המשך פיתוח פעילות חוות השרתים תוך מציאת שותף בינלאומי לצורך הצפת ערך, וכן בחינה של ביצוע מהלכים ועסקות חדשים.
שני המינויים האלה הופכים את קבוצת עזריאלי לחברה היחידה במדד ת"א 35 שבה נשים ימלאו את שני תפקידי המפתח כיו"ר דירקטוריון וכמנכ"לית. גם בחברת כרטיסי האשראי מקס המצב דומה, כשמיה ליקוורניק מכהנת כיו"ר דירקטוריון ושגית דותן כמנכ"לית, ואולם מניותיה של מקס — הנמצאת בבעלותה המלאה של כלל החזקות — אינן נסחרות בבורסה.
נראה כי בחברות הנדל"ן הגדולות יש גידול באיוש עמדות מפתח על ידי נשים, וזה מזכיר את העשור הקודם, שבו בשלושת הבנקים הגדולים כיהנו מנכ"ליות — רקפת רוסק עמינח בלאומי, לילך אשר טופילסקי בדיסקונט וסמדר ברבר צדיק בבנק הבינלאומי.
כך, מלבד עזריאלי, מכהנות נשים בתפקידים בכירים בחברות נדל"ן מניב גדולות ציבוריות כמו מליסרון; מגה אור הנסחרת לפי שווי שוק של כ-16 מיליארד שקל, וגב ים הנסחרת לפי שווי שוק של כ-9.7 מיליארד שקל.
במליסרון, לצד בעלת השליטה ליאורה עופר המכהנת כיו"ר דירקטוריון, מכהנת סמדר ברבר צדיק — לשעבר מנכ"לית הבנק הבינלאומי — כסגנית וממלאת מקום יו"ר דירקטוריון. קודם לכן מונתה ברבר צדיק כיו"ר דירקטוריון עופר השקעות, החברה האם של מליסרון, שמלבד האחזקה במליסרון מחזיקה בנדל"ן ונכסי מלונאות משלה.
במגה אור אישרו בעלי המניות את מינויה של אפרת דרורי נחמיאס לתפקיד מנכ"לית משותפת לצד בעלה צחי נחמיאס. בגב ים, המוחזקת בשרשור בכ-13.4% על ידי מגה אור, מונתה בפברואר 2025 נטלי משען־זכאי לתפקיד המנכ"לית במקומו של אבי יעקובוביץ'. משען־זכאי שימשה קודם לכן כמנכ"לית דסק"ש ונכסים ובנין. בג'י סיטי ישראל שבשליטת חיים כצמן מונתה ב-2022 קרן כליפה כמנכ"לית.
גם בחברות הנדל"ן למגורים מספר המנהלות גדל. כך, לאחר שהפסידה לידין ענתבי בהתמודדות על תפקיד מנכ"ל בנק הפועלים, דלית רביב עזבה את הפועלים ומונתה לתפקיד מנכ"לית חברת הנדל"ן הפרטית ICR, המתמקדת בייזום והקמה של פרויקטי נדל"ן למגורים למכירה ושל התחדשות עירונית.
ICR נמצאת בשליטה משותפת של ישראל קנדה (+0.15% 2053) הציבורית, שבשליטת ברק רוזן ואסי טוכמאייר, וקבוצת ראם של רז עודד והאחים נקש. כמו כן, רונית אשד לוי מונתה למנכ"לית אפריקה ישראל (-1.32% 29880) מגורים.
